1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Rock Bottom Intel LLC ("Company," "we," "us," or "our") governing your use of the Rock Bottom Intel mobile application and any related services (collectively, the "Service"). By downloading, installing, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Service Description

Rock Bottom Intel is a fishing condition intelligence application that aggregates publicly available data from government agencies, including but not limited to the U.S. Geological Survey (USGS), the National Weather Service (NWS), the National Oceanic and Atmospheric Administration (NOAA), state divisions of water resources, and state parks and wildlife agencies. The Service provides:

3. Disclaimer of Data Accuracy

DATA DISPLAYED IN THE APP MAY BE INACCURATE, DELAYED, INCOMPLETE, OR ENTIRELY WRONG.

The Service displays data sourced from third-party government agencies and public sources. We do not independently verify the accuracy, completeness, timeliness, or reliability of this data. Specifically:

You acknowledge and agree that you rely on any data displayed in the Service entirely at your own risk. The Company makes no representation or warranty, express or implied, regarding the accuracy, reliability, or completeness of any data, score, recommendation, or information provided through the Service.

4. Fishing Regulations Disclaimer

REGULATION INFORMATION IN THE APP IS FOR GENERAL INFORMATIONAL REFERENCE ONLY. IT IS NOT A LEGAL REFERENCE AND MUST NOT BE RELIED UPON AS SUCH.

The Service may display summaries of fishing regulations, including but not limited to bag limits, slot limits, gear restrictions, seasonal closures, special management designations, and license requirements. This information:

It is your sole responsibility to verify all fishing regulations with the appropriate state wildlife agency before fishing. You must carry a valid fishing license and comply with all applicable local, state, and federal laws and regulations. The Company is not liable for any fines, citations, penalties, license revocations, criminal charges, or other consequences resulting from your reliance on regulation information displayed in the App.

5. Road Conditions & Navigation Disclaimer

The Service may provide information about road conditions, access routes, driving directions, and access point locations for fishing destinations. This information:

The Company is not liable for any vehicle damage, personal injury, stranding, rescue costs, towing expenses, traffic violations, or any other harm arising from your reliance on road condition information or access directions provided in the App. You are solely responsible for verifying road conditions and assessing whether your vehicle and driving skills are appropriate for any route.

6. Private Property & Access Disclaimer

PROPERTY BOUNDARY AND WADING RIGHTS INFORMATION IN THE APP IS APPROXIMATE. IT IS NOT A LEGAL SURVEY AND MUST NOT BE RELIED UPON FOR DETERMINING PROPERTY LINES OR ACCESS RIGHTS.

The Service may display information regarding public access points, property boundaries, wading rights, easements, and fishing access. This information:

The Company is not liable for any trespassing charges, civil claims, criminal penalties, confrontations with property owners, or any other consequences arising from your reliance on property boundary or access information displayed in the App. You must obey all posted signs, respect private property, and verify access rights independently before entering any area. When in doubt, do not proceed.

7. Assumption of Risk & Safety Disclaimer

FISHING AND WADING IN RIVERS AND STREAMS IS INHERENTLY DANGEROUS AND CAN RESULT IN SERIOUS INJURY OR DEATH.

By using the Service, you acknowledge and accept that outdoor recreation activities, including but not limited to fishing, wading, hiking to access points, and traveling on rural roads, involve inherent and significant risks, including but not limited to:

YOU VOLUNTARILY ASSUME ALL RISKS associated with your outdoor activities. The Service does not provide safety guidance and is not a substitute for proper outdoor safety training, equipment, judgment, or experience. The Company is not liable for any injury, illness, death, property damage, or other loss arising from or related to your outdoor activities, regardless of whether you used information from the App in planning or conducting those activities.

8. No Guarantee of Fishing Success

Fishing condition scores, fly pattern recommendations, hatch predictions, pressure estimates, and all other predictive or advisory features in the App are algorithmically generated estimates based on statistical models and historical data. They are not guarantees or predictions of actual fishing conditions or outcomes. Fish behavior is influenced by countless variables that cannot be fully modeled or predicted. The Company makes no representation that the use of the Service will result in catching fish or in any particular fishing outcome.

9. Subscription Terms

9.1 Billing

Rock Bottom Intel offers subscription-based access to premium features. Subscriptions are billed through Apple's App Store. Payment is charged to your Apple ID account at confirmation of purchase.

9.2 Auto-Renewal

Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the same rate.

9.3 Cancellation

You may manage and cancel your subscription at any time through your Apple ID Account Settings. Cancellation takes effect at the end of the current billing period. No refunds or credits are provided for partial subscription periods.

9.4 Price Changes

Subscription prices may change. If a price increase takes effect, you will be notified in advance and, where required by applicable law, your consent will be obtained before the new price applies.

9.5 Apple's Terms

Your subscription is also subject to Apple's Licensed Application End User License Agreement and App Store terms. In the event of a conflict between these Terms and Apple's terms regarding subscription billing, Apple's terms shall govern.

9.6 Free Trial

If a free trial is offered, it will automatically convert to a paid subscription at the end of the trial period unless cancelled at least 24 hours before the trial expires. Any unused portion of a free trial is forfeited when you purchase a subscription.

10. User Content

The Service may allow you to create journal entries, log catches, take and store photographs, and record personal notes ("User Content"). Your User Content is stored locally on your device and, if you enable iCloud sync, in your private iCloud account. The Company does not access, collect, transmit, store, or process your User Content on our servers.

You retain all ownership rights in your User Content. You are solely responsible for the content of your journal entries and photos, including ensuring you have the right to photograph any location or person depicted.

The Company is not responsible for any loss of User Content due to device failure, iOS updates, app deletion, iCloud sync errors, or any other cause. You are solely responsible for backing up your data.

11. Intellectual Property

The Service, including but not limited to its data aggregation methods, machine learning models, scoring algorithms, user interface design, graphical elements, code, and overall presentation, is the proprietary intellectual property of Rock Bottom Intel LLC and is protected by copyright, trade secret, and other intellectual property laws.

The aggregation, organization, analysis, and presentation of publicly available data constitutes original work product of the Company. While the underlying government data is public, our specific compilation, transformation, scoring, and display of that data is proprietary.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

12. Third-Party Data & Services

The Service aggregates data from third-party government agencies and public sources. The Company does not control, operate, or guarantee the availability, uptime, accuracy, or reliability of any third-party data source, including but not limited to USGS, NWS, NOAA, state divisions of water resources, and state parks and wildlife agencies.

If any third-party data source becomes unavailable, inaccurate, or is discontinued, the Service may be degraded or certain features may become unavailable. The Company is not liable for any such degradation or unavailability.

The Service may contain links to third-party websites or services. We do not endorse, control, or assume responsibility for the content, policies, or practices of any third-party sites.

13. Indemnification

You agree to indemnify, defend, and hold harmless Rock Bottom Intel LLC, its officers, directors, employees, agents, licensors, and affiliates from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

This indemnification obligation shall survive the termination of these Terms and your use of the Service.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ROCK BOTTOM INTEL LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE COMPANY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES ACTUALLY PAID BY YOU TO THE COMPANY DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR FIFTY U.S. DOLLARS ($50.00), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations set forth above shall apply to the fullest extent permitted by law.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. THE COMPANY SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

No advice or information, whether oral or written, obtained from the Company or through the Service shall create any warranty not expressly stated in these Terms.

16. Governing Law

These Terms and any dispute arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. To the extent that any lawsuit or court proceeding is permitted hereunder, you and the Company agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Denver County, Colorado.

17. Binding Arbitration & Class Action Waiver

17.1 Agreement to Arbitrate

You and the Company agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") shall be resolved through binding individual arbitration rather than in court, except that either party may bring individual claims in small claims court if they qualify.

17.2 Arbitration Rules

Arbitration shall be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration shall take place in Denver, Colorado, or, at your election, may be conducted by telephone or video conference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

17.3 Class Action Waiver

YOU AND THE COMPANY EACH WAIVE THE RIGHT TO A TRIAL BY JURY. YOU AND THE COMPANY EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING. All Disputes must be brought in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

17.4 Opt-Out

You may opt out of this arbitration provision by sending written notice to legal@rockbottomintel.com within thirty (30) days of first accepting these Terms. Your notice must include your name, mailing address, and a clear statement that you wish to opt out of arbitration.

17.5 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

18. Changes to These Terms

The Company reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and may provide additional notice through the App. Your continued use of the Service after any modification constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and uninstall the App.

It is your responsibility to review these Terms periodically for changes.

19. Age Requirement

You must be at least thirteen (13) years of age to use the Service. If you are under 18, you represent that you have your parent's or legal guardian's permission to use the Service and that they have read and agree to these Terms on your behalf. The Company does not knowingly collect personal information from children under 13. If we become aware that a user is under 13, we will take steps to remove any associated data.

20. Acceptable Use Policy

You agree not to, and shall not permit any third party to:

Violation of this Acceptable Use Policy may result in immediate termination of your access to the Service without notice or refund.

21. Termination

The Company may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 3-8 (Disclaimers), 11 (Intellectual Property), 13 (Indemnification), 14 (Limitation of Liability), 15 (Disclaimer of Warranties), 16 (Governing Law), and 17 (Arbitration).

You may terminate your use of the Service at any time by deleting the App and cancelling any active subscription through your Apple ID Account Settings.

22. Severability & Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

These Terms, together with the Privacy Policy and any applicable Apple terms, constitute the entire agreement between you and the Company regarding the Service and supersede all prior or contemporaneous communications, whether oral or written.

The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
